Do i copy the ENTIRE BF2142 folder or a certain file.

You'll need to make a backup of your 1.4 installation BEFORE applying the patch. Check out Silver's post for instructions.

I would think that it being "public" would render any NDA non-binding, if one existed.

So, I downloaded the patch before copying the directory, any way to undo it without completely reinstalling bf2142?

If you already applied the patch, I don't think you can undo it. You probably could rename the current (1.5 patched one) to bf2142 1.5 and then install and patch a new copy.
