This is a good CPU but you're limiting yourself in the future by going with AM2+. You should really go for an AM3 system. It will be more upgradable. Also, that chip overclocks well on a good ATI chipset. The chipset on the motherboard you've chosen is not great for overclocking or anything else other than running SLI. I'd get a CPU like this one instead: http://www.newegg.com/Product/Produc...82E16819103696 . It costs the same as the 940 and although it doesn't have an unlocked multiplier (and therefore will be tougher to overclock), it runs on an AM3 board with DDR3.

This is a poor choice, I'm sorry to say. Nvidia has really slipped in the chipset area over the past couple of years and it is hard to recommend them these days. This board ( http://www.newegg.com/Product/Produc...82E16813128378 ) would be a much better option and it costs less but it won't do SLI. It will, however, do Crossfire if you ever decide to go the ATI route.

OK, I guess this might be reason enough to stick with AM2 and the 940, but not with that godawful motherboard. 8GB is a bit more than you need for gaming (and you lose some speed when all four banks are filled) but more is generally better. Sorry to pick your build apart (and let me know if you decide to stiick with the PII 940 so I can pick a different motherboard) but this is the sort of advice I wish someone had given me when I was building my first machine.
